Welcome to Orbit (“Platform”), owned and operated by FDRTN LTD (“we”, “us”, or “our”). These Terms and Conditions (“Terms”) govern your use of the Platform, including any and all services, functionalities, and content offered or made available through [https://orbit.thecore.network] (the “Site”), any affiliated mobile applications, and all related sites and services (collectively, the “Services”).

By accessing or using our Platform, you (“User”) agree to be bound by these Terms. If you do not agree to these Terms, you must immediately stop using our Services.
1. DEFINITIONS
  1. “Project(s)” refers to individuals or entities that create missions or requests on the Platform seeking the collaboration of KOLs (Key Opinion Leaders), influencers, or content creators.
  2. “KOL(s)” (Key Opinion Leaders) refers to individuals or entities registering on the Platform who offer or participate in projects, campaigns, or other requested services.
  3. “General User(s)” refers to individuals or entities that browse, view, or otherwise use the Platform without creating or participating in missions.
  4. “Content” includes but is not limited to text, graphics, images, audio, videos, data, information, files, and any other material uploaded or otherwise made available on the Platform.
2. OVERVIEW OF THE PLATFORM
Orbit is a peer-to-peer, web-based matching platform that allows:

  • Projects to register and create missions or requests for KOLs and other content creators.
  • KOLs to register and potentially collaborate with Projects by participating in these missions or requests.
  • General Users to browse and check KOLs, Projects, and their activities.

Important: Orbit only facilitates connections and interactions between Projects and KOLs. We do not control, verify, or endorse any user or Content. We do not guarantee results, quality, or legitimacy of any user, mission, or collaboration.
3. ELIGIBILITY
  1. You represent and warrant that you are of legal age (in your jurisdiction) and capable of entering into a binding contract.
  2. You must comply with all applicable laws and regulations in your respective jurisdiction(s) relating to your use of the Platform.
4. REGISTRATION AND ACCOUNT RESPONSIBILITIES
  1. Account Creation: Certain functionality on the Platform may require you to create an account. When creating an account, you agree to provide accurate, current, and complete information.
  2. Account Security: You are solely responsible for maintaining the confidentiality of your login details and for all activities under your account.
  3. Account Use: You agree not to misuse or share your account with others. If you suspect unauthorized access or any other security breach, you must promptly notify us.
5. USER CONTENT AND CONDUCT
  1. User Responsibility: You are solely responsible for the Content you post, upload, or otherwise make available on the Platform. This includes compliance with all applicable laws, rules, and regulations in your jurisdiction.
  2. Accuracy of Information: Any information, data, or Content a User provides (including but not limited to mission details, KOL credentials, project descriptions) is not verified or guaranteed by us. Other Users should exercise their own judgment and caution when relying on any such information.
  3. Compliance with Laws: Projects and KOLs are responsible for understanding and complying with all laws, rules, and regulations that may apply to their activities, including but not limited to advertising regulations, consumer protection laws, intellectual property rights, and data protection laws.
  4. Prohibited Conduct: Users must refrain from any illegal, fraudulent, abusive, harassing, or otherwise objectionable activities. We reserve the right to remove or modify any Content that violates these Terms or applicable law.
6. USE OF CONTENT BY FDRTN LTD
  1. License Grant: By posting or uploading any Content on the Platform, you grant FDRTN LTD a worldwide, non-exclusive, perpetual, irrevocable, royalty-free, transferable, sublicensable right to use, reproduce, distribute, modify, adapt, create derivative works of, publicly display, publicly perform, and otherwise exploit such Content in any media now known or later developed, for any purpose, including but not limited to analytics, marketing, and promotional activities.
  2. Warranties for Content: You represent and warrant that you have all the rights, power, and authority necessary to grant the license set forth above.
7. RELATIONSHIP BETWEEN PROJECTS AND KOLS
  1. Independent Parties: Projects and KOLs are independent parties and are not affiliated with FDRTN LTD, Orbit, or the Platform in any kind of partnership, joint venture, employment, or agency relationship.
  2. No Endorsement: We do not endorse any Project, KOL, or mission. Any agreement, contract, or understanding reached by Projects and KOLs is solely between them.
  3. Responsibility: Each Project and KOL is responsible for their own actions, including all financial transactions, compliance with legal obligations, and performance of any obligations arising from their engagements.
8. DISCLAIMER OF WARRANTIES
  1. As Is / As Available: The Platform and Services are provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind.
  2. Guarantee: We do not guarantee the accuracy, completeness, or reliability of any Content. We do not guarantee the successful matching of Projects and KOLs or the quality of any resulting collaboration.
  3. No Risk Assumption: You expressly agree that your use of the Platform and reliance on any Content, user, or mission is at your sole risk.
9. LIMITATION OF LIABILITY
  1. Exclusion of Liability: To the maximum extent permitted by law, FDRTN LTD and its affiliates, directors, officers, employees, and agents will not be liable for any damages, including but not limited to direct, indirect, punitive, incidental, special, or consequential damages, arising out of or in any way connected with the use of or inability to use the Platform or Services.
  2. User Responsibility: You agree to hold us harmless for any claim arising out of any actions or omissions by you or by other Users, including Projects or KOLs.
10. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless FDRTN LTD, its affiliates, and their respective directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees and costs) arising out of or in any way connected with your access to or use of the Platform, your Content, or your breach of these Terms or any applicable laws.
11. TERMINATION
  1. Termination Rights: We reserve the right, in our sole discretion, to suspend or terminate your access to the Platform at any time, for any reason, without notice.
  2. Effect of Termination: Upon termination, all rights and licenses granted to you under these Terms will cease immediately. However, the disclaimers of warranties, limitation of liability, indemnity obligations, and licenses granted for Content survive any termination or expiration of these Terms.
12. THIRD-PARTY SITES AND SERVICES
Our Platform may contain links to or integrations with third-party websites or services. We have no control over these third-party sites and are not responsible for their content, privacy practices, or any loss or damage that may arise from your use of them.
13. MODIFICATIONS TO THE TERMS
We reserve the right to revise or update these Terms at any time. Any changes will be effective immediately upon posting. Your continued use of the Platform after any posted modification indicates your acceptance of the revised Terms.
14. GOVERNING LAW AND DISPUTE RESOLUTION
  1. Governing Law: These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which FDRTN LTD is registered, without regard to conflict of law principles.
  2. Dispute Resolution: Any dispute arising out of or in connection with these Terms shall be resolved through good-faith negotiations. If unresolved, disputes shall be submitted to the exclusive jurisdiction of the competent courts in the jurisdiction where FDRTN LTD is registered.
15. MISCELLANEOUS
  1. Entire Agreement: These Terms, together with our Privacy Policy (if applicable) and any other legal notices published by us on the Platform, constitute the entire agreement between you and us.
  2. Severability: If any provision of these Terms is found invalid or unenforceable, such provision shall be severed, and the remainder of the Terms shall remain in full force and effect.
  3. No Waiver: Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
  4. Assignment: You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent.
